Terms and Conditions of Sale and Service
Instruman (Pty) Ltd
1. Introduction
These Terms and Conditions govern all quotations, sales, installations, rentals, and services provided by Instruman (Pty) Ltd (“Instruman”, “we”, “us”, or “our”). By accepting a quotation or placing an order, the customer (“the Client”) agrees to be bound by these Terms and Conditions.
2. Quotations and Scope of Work
- The scope of work shall be as described in the official quotation issued by Instruman.
- Quotations are valid for 15 (fifteen) days from date of issue unless otherwise stated.
- Instruman reserves the right to amend pricing due to errors, omissions, or exchange rate changes prior to order confirmation.
3. Pricing and VAT
- All prices exclude VAT unless otherwise stated.
- Import pricing is linked to the prevailing Rate of Exchange (R.O.E.) as published by Standard Bank.
- Instruman reserves the right to requote based on exchange rate fluctuations at time of order.
4. Payment Terms
- Account holders: 30 days from invoice.
- Non-account holders: payment required prior to release of goods.
- Rentals and support fees payable monthly in advance.
- Ownership remains with Instruman until paid in full.
5. Ownership and Title
All goods and software licences remain the property of Instruman until full payment has been received and cleared.
6. Delivery and Installation
- Installation commences once payment and site readiness are confirmed.
- Lead time typically 1–3 weeks.
- Instruman is not responsible for civil or electrical work unless quoted.
- A 220V outlet within 1.5m is required unless otherwise agreed.
7. Additional Work and Waiting Time
- Out-of-scope work will be quoted and approved before execution.
- Delays caused by site conditions may incur additional charges.
- Accommodation costs are for the client unless included in quotation.
8. Call Out Fees and Travel
Call-out fees and travel charges apply based on location and time spent on site.
9. Warranty
- 12-month warranty on workmanship and defects.
- Excludes misuse, third-party interference, and environmental damage.
- CPA statutory rights remain applicable.
10. IT Requirements
- Static IP addresses required for systems.
- Network infrastructure must support installation.
- Client responsible for compatibility.
11. Health and Safety
- Standard PPE included.
- Specialised PPE and inductions charged separately.
12. Rental
Rental agreements are governed separately and payable monthly in advance.
13. Cancellation
- 25% cancellation fee applies.
- Completed work charged in full.
14. Returns
- 15% handling fee applies.
- Items must be unused, in original packaging, within 7 days.
- CPA rights remain unaffected.
15. Errors and Omissions
Errors may be corrected prior to invoicing with client approval.
16. Liability
Instruman is not liable for indirect or consequential damages.
17. Governing Law
These terms are governed by South African law.
18. Confidentiality
This document contains confidential information and may not be reproduced without consent.
